⚠️ Critical Service Scope Disclaimer
THE SYNCHRONICS ONLINE CONSULTATION SERVICE IS EXCLUSIVELY A REMOTE FAULT DIAGNOSIS AND TECHNICAL ASSESSMENT SERVICE. IT IS NOT A REPAIR SERVICE, NOT A REPAIR GUIDANCE SERVICE, AND NOT A "FIX-IT-YOURSELF" INSTRUCTION SERVICE.
Our engineers will analyse your equipment fault remotely via video call, assess the likely cause of failure, and provide a professional fault diagnosis report. We will not guide you through repairing the equipment yourself, provide step-by-step repair instructions, or take any responsibility for actions taken on the equipment after or during the session.
1.Parties to this Agreement
These Terms & Conditions ("Terms") constitute a legally binding agreement between:
- Service Provider: Synchronics Electronics Pvt. Ltd., 4th Floor, Lotus Enora, Opp. Rutu Villa Bunglows, 24 Mt. Main Road, New Alkapuri, Gotri, Vadodara 390 021, Gujarat, India. GSTIN: 24AADCS9476Q1ZG ("Synchronics", "we", "us", "our").
- Client: The individual or organisation booking and/or attending an Online Consultation session ("Client", "you", "your").
By creating an account, booking a session, or participating in a session, you confirm that you have read, understood, and agreed to these Terms in their entirety.
2.Nature and Scope of Service
2.1 What the Service IS:
- A live, one-to-one video consultation with a qualified Synchronics engineer via a secure browser-based video platform.
- A remote visual and technical assessment of the described fault based on what can be observed via video and information provided by you.
- A professional opinion on the likely cause(s) of the fault, the affected components, and recommendations on next steps (e.g., sending equipment to Synchronics for physical repair).
- A written fault diagnosis report delivered after the session.
2.2 What the Service IS NOT:
- A physical repair service. We do not touch, handle, or physically repair your equipment.
- A repair instruction service. Our engineers will not guide you to open, disassemble, solder, replace components, or perform any repair work on your equipment during or after the session.
- A guarantee of fault identification. Remote diagnosis has inherent limitations; some faults may not be diagnosable without physical inspection.
- A warranty or guarantee that the fault will be resolved as a result of this consultation.
- A substitute for qualified on-site maintenance by a trained electrician or engineer.
- An emergency response or on-site callout service.
2.3 Limitation of Scope: The diagnosis provided is based solely on information visible via video and information volunteered by the Client. Synchronics expressly disclaims any responsibility for faults or failures not disclosed or not visible during the session, faults that present differently under operating conditions, or faults that can only be identified through physical disassembly or specialised test equipment.
3.Eligibility and Account Registration
3.1 You must be at least 18 years of age and have the legal authority to bind yourself or your organisation to these Terms.
3.2 You must be a professional representative of the organisation operating the industrial equipment in question, or have the explicit authorisation of such organisation to seek this consultation.
3.3 You are responsible for maintaining the confidentiality of your account credentials. Synchronics is not liable for any access or actions taken using your credentials without your authorisation.
3.4 We reserve the right to refuse, suspend, or terminate accounts at our sole discretion, including where we have reason to believe that use is fraudulent, abusive, or in violation of these Terms.
4.Booking, Pricing, and Payment
4.1 Upfront Payment: All session fees are payable in full at the time of booking. Sessions are not confirmed until payment is successfully processed.
4.2 Pricing: Fees are as displayed on the booking page at the time of purchase. All prices are exclusive of GST. GST at 18% (SAC Code 998313) will be added and displayed before checkout.
4.3 GST Invoice: A GST-compliant tax invoice will be emailed to you upon successful payment. For verified GST-registered businesses (B2B), an e-invoice (IRP/IRN) will be generated as required under the GST Act.
4.4 Payment Gateway: Payments are processed through Razorpay. By proceeding to payment, you also agree to Razorpay's Terms of Service. Synchronics does not store your card or banking details.
4.5 Emergency Sessions: Emergency sessions carry a premium rate and imply priority scheduling within approximately 2 hours of confirmed payment, subject to technician availability. The premium rate is non-negotiable and non-waivable even if the wait time exceeds 2 hours due to circumstances beyond our control.
4.6 Failed Payments: If payment fails, no session booking is created. You will not be charged for failed transactions.
5.Cancellations and Refunds
5.1 Client-Initiated Cancellation:
- Cancellations made more than the free cancellation window (as specified in current Refund Policy in the booking confirmation email) before the scheduled session start will receive a full refund less any payment gateway processing charges.
- Cancellations made inside the free cancellation window will receive a partial refund as specified in the Refund Policy, or no refund if less than 30 minutes before the session.
5.2 Emergency Sessions: Emergency sessions, once confirmed with payment, are non-refundable after the technician has been allocated.
5.3 Technician No-Show / Technical Failure on Our End: If Synchronics is unable to provide the session due to our own technical failure or technician unavailability, you will receive a full refund or a complimentary rescheduled session at your choice.
5.4 Client No-Show: If you fail to join the session within 10 minutes of the scheduled start time without prior notice, the session will be marked as a no-show and no refund will be issued.
5.5 Refund Processing: Approved refunds are processed to the original payment method within 5–7 business days via Razorpay. A GST credit note will be issued for any refund involving a tax invoice.
5.6 Disputes: All refund disputes must be raised within 7 days of the session date by emailing email@synchronics.co.in with your session reference number.
6.Session Conduct and Technical Requirements
6.1 You are responsible for ensuring you have a stable internet connection, a functioning camera and microphone, and a supported modern web browser (Chrome, Firefox, Edge, Safari) for the session.
6.2 The session must be conducted in a safe environment. You must not perform any live electrical work, open energised panels, or perform any activity that poses a risk to your safety or others' safety during the session.
6.3 The equipment presented must be in a powered-off, de-energised, and safe-to-observe state unless explicitly and temporarily shown otherwise with appropriate safety precautions in place.
6.4 You must not share confidential third-party information, trade secrets, or classified information during the session unless you have the right to disclose such information.
6.5 Our engineers are bound by confidentiality regarding the technical information shared during your session. Session recordings (if made) are stored securely and are accessible only to authorised Synchronics personnel.
6.6 By attending the session, you consent to the session being recorded for quality assurance and record-keeping purposes. If you do not consent, you must notify us in writing before the session begins and the session will proceed without recording, or may be cancelled with a full refund.
7.Disclaimer of Warranties and Limitation of Liability
7.1 THE ONLINE CONSULTATION SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". SYNCHRONICS MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR ACCURACY OF DIAGNOSIS.
7.2 SYNCHRONICS IS NOT LIABLE FOR:
- Any damage to equipment, property, or personnel arising from actions taken by you or third parties based on information provided during or after the session.
- Any consequential, indirect, special, punitive, or incidental damages, including but not limited to loss of production, loss of profits, loss of data, or business interruption.
- Any misdiagnosis or incomplete diagnosis resulting from limitations of remote visual assessment, incomplete information provided by the Client, or equipment conditions not observable via video.
- Technical failures of the video platform (Daily.co) or internet connectivity issues on either party's end.
7.3 To the maximum extent permitted by applicable law, Synchronics' total aggregate liability to you in connection with this service shall not exceed the amount paid by you for the specific session giving rise to the claim.
7.4 Nothing in these Terms shall limit or exclude liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded.
8.Indemnification
You agree to indemnify, defend, and hold harmless Synchronics Electronics Pvt. Ltd., its directors, officers, employees, technicians, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:
- Your use of or inability to use the service.
- Your violation of these Terms.
- Any actions taken by you, your employees, or contractors based on the fault diagnosis or recommendations provided.
- Any third-party claim arising from your use of the service.
9.Intellectual Property
9.1 The fault diagnosis report, session recordings, and all documentation prepared by Synchronics in connection with your session are the intellectual property of Synchronics Electronics Pvt. Ltd. and are licensed to you for your internal business use only.
9.2 You may not reproduce, distribute, publish, or use the diagnosis report for commercial purposes, training, or public dissemination without prior written consent from Synchronics.
9.3 Nothing in these Terms transfers any intellectual property rights from Synchronics to you.
10.Data Privacy and GSTIN Information
10.1 We collect your name, email, contact details, equipment information, GSTIN (if provided), and session data to provide the service, generate GST invoices, and comply with tax law obligations.
10.2 GSTIN data is verified through the GSTZen API and stored solely for GST invoice and e-invoice (IRP) generation purposes as required under the GST Act, 2017.
10.3 We do not sell, rent, or share your personal data with third parties except as required by law or as necessary to provide the service (e.g., payment processor, video platform).
10.4 You may request deletion of your account and associated data by emailing email@synchronics.co.in. Data required for legal and tax compliance will be retained for the period mandated by law (typically 8 years for GST records).
11.Prohibited Use
You agree not to use this service to:
- Obtain advice for equipment you do not own or are not authorised to operate or maintain.
- Record, transmit, or publish the session without Synchronics' prior written consent.
- Misrepresent the nature, model, or condition of equipment to obtain a more favourable diagnosis.
- Use the service for any unlawful purpose or in violation of any applicable Indian or international laws.
- Reverse-engineer, scrape, or extract information from our platform through automated means.
12.Service Availability and Modifications
12.1 Synchronics reserves the right to modify, suspend, or discontinue the Online Consultation service at any time with or without notice. Where sessions have been paid for, any disruption from our end will result in a full refund.
12.2 We reserve the right to update these Terms at any time. The updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the service after the update constitutes acceptance of the revised Terms.
12.3 Synchronics may, at its sole discretion, refuse to conduct a session if the requested subject matter falls outside the technical expertise of our team, or if the session cannot be safely or accurately conducted remotely.
13.Governing Law and Dispute Resolution
13.1 These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
13.2 The courts at Vadodara, Gujarat shall have exclusive jurisdiction over any disputes arising from or in connection with these Terms or the service.
13.3 Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from the date a dispute is notified in writing.
14.Force Majeure
Synchronics shall not be liable for any failure or delay in performance arising from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, strikes, government actions, power outages, internet service disruptions, pandemic-related restrictions, or third-party platform failures.
15.Entire Agreement and Severability
15.1 These Terms, together with the booking confirmation and GST invoice, constitute the entire agreement between you and Synchronics with respect to the Online Consultation service and supersede all prior discussions and representations.
15.2 If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
15.3 No waiver of any breach of these Terms shall be deemed a waiver of any subsequent breach.
